These Terms and Conditions (“Terms”) govern your access to and use of the PayForge website, application, card services, and any related products or services made available by ForgeFi LLC, a company incorporated in Nevis, West Indies (“ForgeFi,” “Company,” “we,” “us,” or “our”).

 

By creating an account, applying for a PayForge card, using the PayForge website, loading digital assets, or using the card or related services, you agree to be bound by these Terms and by our Privacy Policy, Risk Disclosure, and Lost Card Policy, each of which forms part of these Terms.

 

1. Eligibility

 

You may use the PayForge services only if you are at least 18 years old, have full legal capacity to enter into a binding agreement, and are not prohibited from using the services under applicable law. By using the services, you represent and warrant that you meet these eligibility requirements.

 

2. Nature of the Service

 

PayForge offers prepaid card services linked to a user account and supported by digital assets and/or other permitted funding methods, subject to availability, verification, compliance review, and applicable law.

 

PayForge cards may be issued in physical metal card form and may be enabled on the Visa network or another payment network, depending on the card program structure, issuer arrangements, and jurisdiction. Card availability, functionality, and merchant acceptance may vary by country, merchant, terminal, network rules, and local law.

 

3. Account Registration and KYC

 

To access certain services, you must create an account and complete our identity verification process. We may require you to provide, at minimum, your full name, passport details, date of birth, email address, mobile number, residential address, source-of-funds information, and any additional information we reasonably request for customer due diligence, anti-money laundering, sanctions screening, fraud prevention, or regulatory compliance.

 

You agree that all information you provide is true, complete, accurate, and current. You must promptly update your information whenever it changes. We may refuse, suspend, or terminate any account or card application if verification is not completed to our satisfaction.

 

4. Card Issuance and Activation

 

A PayForge card is issued only after successful review and approval. Delivery timelines are estimates only and may vary due to customs, logistics, verification, or security procedures.

 

You are responsible for keeping your card secure and for activating it in accordance with our instructions. The card remains our property or the property of the applicable card program provider, except where local law provides otherwise.

 

5. Card Use

 

You may use the card for lawful purchases at merchants that accept the applicable payment network and where the transaction is permitted by local law, the merchant, the acquirer, the network, and our internal controls.

 

 

You acknowledge that:

(a) some merchants may not accept prepaid or crypto-linked cards;

(b) some transactions may be declined without notice;

(c) card usage may be restricted by country, merchant category, transaction type, or compliance rules; and

(d) cash withdrawals, cash-like transactions, gambling, adult content, sanctioned goods/services, or other restricted categories may be blocked.

 

6. Funding and Loads

 

Subject to compliance approval, you may load the card or linked wallet using supported digital assets such as USDT, BTC, ETH, or other assets that we may accept from time to time.

 

You acknowledge and agree that:

(a) digital asset values are volatile and may change rapidly;

(b) blockchain transfers may be irreversible once confirmed;

(c) network congestion, wallet errors, smart contract failures, or user errors may cause delays or loss; and

(d) we are not responsible for mistaken transfers to incorrect addresses, unsupported networks, or incompatible assets.

 

We may impose minimum and maximum load limits, daily usage limits, velocity controls, reserve requirements, and risk-based restrictions at any time.

 

7. Fees

 

You agree to pay all applicable card issuance fees, shipping fees, top-up fees, FX conversion fees, network fees, inactivity fees, replacement fees, chargeback fees, investigation fees, and any other charges disclosed on our website, fee schedule, or account dashboard.

 

Fees may be changed from time to time upon notice where required by law or contract. Use of the service after the effective date of a fee change constitutes acceptance of the revised fees.

 

8. Foreign Exchange and Conversion

 

Where a transaction is made in a currency different from the balance currency, conversion may be applied by the card network, issuer, processor, or service provider at the applicable exchange rate plus any markup or fee disclosed by us or the network. We do not control exchange rates applied by third parties.

 

9. Prohibited Use

 

You must not use the services, card, website, or account for any unlawful, fraudulent, deceptive, abusive, or prohibited activity. Prohibited activity includes, without limitation:

 

(a) money laundering, terrorist financing, sanctions evasion, fraud, or tax evasion;

(b) dealing in proceeds of crime or illicit goods/services;

(c) using the card for gambling where prohibited;

(d) using the card to buy restricted, illegal, or age-controlled goods;

(e) attempting chargeback fraud, card testing, refund abuse, or account takeover;

(f) using mixers, tumblers, obfuscation tools, or similarly risky transfers where prohibited by our controls;

(g) using the services in violation of applicable sanctions or export controls;

(h) using false identity documents or nominee arrangements; or

(i) any conduct that creates undue legal, compliance, operational, or reputational risk for us, our partners, or the payment network.

 

We may monitor transactions for suspicious activity and may report suspicious or unlawful conduct to authorities or third parties as required or permitted by law.

 

10. Compliance Review, Suspension, and Termination

 

We may, at our sole discretion and without liability, delay, refuse, reverse, freeze, suspend, terminate, or limit access to any card, wallet, account, transaction, or service if we believe it is necessary for legal, regulatory, compliance, risk, security, fraud prevention, chargeback prevention, or operational reasons.

 

We may require additional information or re-verification at any time. We are not liable for any loss resulting from a lawful suspension or limitation of service.

 

11. Statements and Records

 

Transaction history, balance information, and account records may be made available through the website, dashboard, or customer support channels. Records are provided for convenience only and may contain delays or corrections. You must review all statements promptly and notify us of any suspected error.

 

 

12. Chargebacks and Disputes

 

Where a transaction is disputed, the matter may be subject to the rules of the card network and the merchant’s acquirer. You agree to provide all information reasonably requested for dispute handling. We do not guarantee that any chargeback or reversal will succeed.

 

13. Intellectual Property

 

All content on the website, including text, graphics, logos, designs, software, code, and trademarks, is owned by us or our licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, modify, distribute, or exploit any content without our prior written consent.

 

14. Privacy

 

Your personal information is handled in accordance with our Privacy Policy. By using the services, you acknowledge that we may collect, use, share, and transfer personal data as described in the Privacy Policy.

 

15. Disclaimers

 

The services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

 

We do not warrant that:

(a) the services will be uninterrupted, secure, error-free, or available at all times;

(b) all merchants will accept the card;

(c) digital asset prices, network conditions, or conversion outcomes will be favorable; or

(d) the card will be suitable for any particular transaction, country, or merchant.

 

16. Limitation of Liability

 

To the fullest extent permitted by law, ForgeFi LLC, its directors, officers, employees, agents, affiliates, partners, and service providers shall not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for loss of profits, revenue, data, goodwill, or business opportunities.

 

Our aggregate liability for any claim arising out of or relating to the services shall be limited to the lesser of:

(a) the total fees paid by you to us in the three (3) months preceding the event giving rise to the claim; or

(b) USD _______________ unless a higher amount is required by applicable law.

 

17. Indemnity

 

You agree to indemnify, defend, and hold harmless ForgeFi LLC and its affiliates, officers, directors, employees, agents, and service providers from and against any claims, losses, liabilities, damages, costs, and expenses arising out of or related to:

(a) your breach of these Terms;

(b) your violation of law or third-party rights;

(c) your use or misuse of the card or services; or

(d) any fraudulent, negligent, or unauthorized activity associated with your account.

 

18. Amendments

 

We may update these Terms from time to time. The updated version will be posted on the website with a revised effective date. Your continued use of the services after the update becomes effective constitutes acceptance of the revised Terms.

 

19. Governing Law and Dispute Resolution

 

These Terms shall be governed by and construed in accordance with the laws of Nevis, West Indies, without regard to conflict-of-laws principles.

 

Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Nevis, unless we elect in our discretion to resolve the dispute by arbitration or another dispute process described on the website or in the cardholder agreement.
